1. General Service Terms & Conditions
BizCafeWorld (“BCW”) provides a range of Web and Marketing Products & Services for local businesses (the “Services”).
The said Services are purchased by the client who signs the Order Form (“you” or “Client”), and it sets forth the costs, description, conditions and other relevant details for such purchased Services.
The present General Service Terms & Conditions (‘’GSTC’’) are incorporated by reference into and made a part of any Order Form submitted to BCW and govern the relationship between you and BCW.
These GSTC also apply to any Services you may sign-up for without an Order Form, such as free trials or other limited-time offers, when applicable.
All Order Forms are subject to acceptance by BCW, in its sole discretion. The Order Form, the GSTC, and the documents and/or links referenced in such documents are together referred to as the “Agreement.”
If you are accepting on behalf of your employer or another entity, you represent and warrant that (i) you have full legal authority to bind your employer or such legal entity to this Agreement, (ii) you have read and understand this Agreement and (iii) you agree, on behalf of the Client, to this Agreement.
PLEASE REVIEW THIS AGREEMENT CAREFULLY, INCLUDING THE DISPUTE RESOLUTION CLAUSE WHICH DESCRIBES HOW CERTAIN DISPUTES WILL BE RESOLVED BETWEEN US.
The Services include, but are not limited to, the following products:
* Web and Social
* Other services added from time to time
BCW is in the process of adding more web and marketing Services and the present GSTC will
be updated punctually and accordingly.
3. Production Terms
Our production turnaround product and services delivery schedule is usually between 15 to 25 business days after our customer care and production team receives all of the required documentation requested.
For graphic designs and/or marketing material’s delivery, we use U.S. Priority Mail as our standard shipping option. However, upon request, we can expedite the delivery of services by the use of next day express mail for quicker results with additional fee.
Our goal is to consistently process all orders as quickly as possible and to accomplish these we request’s a timely response to all of our information or documentation requests.
If we receive no response to our document requests within 30 days from the order date, the order will be considered inactive and sent to archives. It may then be reactivated for an additional $25 fee at a later date.
The fee does not apply, If a payment plan option has been selected, a standard surcharge is applied, and client authorized to debit your account for the remaining balance upon completion of your service order, or in 30 days, whichever may be sooner.
Subsequent payments on the payment plan are automatically programmed into the system and any modifications to the billing cycle or changes to the original order may incur a $25 processing fee in addition to late chargebacks or returned checks.
4. Web Development Packages
Our custom tailored websites packages vary by business or organization needs, sector, and features.
For the most current accurate pricing on add-ons or la carte services please contact our business consultants team at 407-574-6632, Monday through Friday between the hours of 9:00am to 5:00pm USA, Eastern time zone.
Each web development or web design package and service would include a set of a specific number of pages, features, and services included. Any additional add-ons on services or monthly services options will be outlined in the Order Form as a separate fee.
Clients who already have a website and just want modifications or to add new content or features will be on a specific web development service package.
The extent of the services depends on the package features, customization, and information of services provided by the client within a particular time frame. Website modifications, changes or maintenance services might not follow our standard turn around time.
An estimated date of completion will be given once the initially required information requested from the client and initial data collection interview have taken place. Some hosting, domain name and monthly maintenance are not included in your order for a standard website. Clients would be required to provide branded images or logos to have added to the new website.
If you do not have any images, but would like to new or custom professional pictures on your website, we can provide assistance using our BCW catalog of templates and design options in addition to custom graphic designs. BCW is not liable for any pictures provided to us by the client’s company or organization under copyright infringements and trademarks, although all clients branded material will be handled with care and confidentiality.
5. Regarding Hosting
Clients requesting a specific hosting or have their own hosting platform will adhere to a $69.00 one time set-up fee for the website hosting transfer.
The fee will be waived if clients are using our hosting store.
Our store offers a few separate packages. Each package allows you to have access to your own account portal. This portal provides you with managing hosting payment information as well as having the freedom of setting up and managing your own email plans.
Our store also provides 24/7 customer support for hosting and email issues which can be reached at the particular assigned number in the order outlined in the order email confirmation.
Regardless of the plan selected, you have the ability to pay in small monthly installments starting at $6.99 per month or in one lump sum. Please view available packages on our brochures or promotional web links.
6. Fees, Billing, Payments and Late Fees
BCW only bills our clients the fee to perform the services selected. All state and federal filing fees, if applicable, are the sole responsibility of the client.
6.2 Itemization of Fees
You agree to pay the amounts set forth in the Order Form in accordance with Section 3 or as
may be further explained in the Product Terms (the “Fees”).
The Fees are generally divided into:
* product fees,
* service fees and
* set-up fees.
6.3 Product fees are the recurring fees that you will be charged for the specific product you have purchased as shown on the Order Form.
6.4 Service fees are for the delivery of any premium services that BCW may, from time to time offer.
6.5 Set up fees are one-time fees for the set-up of campaigns or other services.
BCW reserves the right to change any of the Fees at any time, provided that such changes will
not take effect until a new Order Form has been executed and delivered to BCW by you.
7. Billing and Payments
The billing and/or invoices will appear with BCW as the Vendor for any purchase made within our network of websites, within BCW products and services. For questions, support or account updates and services, please contact us at 407-574-6632 with any questions or support.
Once an Order Form has been accepted by BCW, you will be responsible for payment in full of all Fees. The Fees shown are not inclusive of sales, use or similar taxes which may be applicable. If applicable, sales, use and similar taxes shall be your sole responsibility and may be assessed on the invoice. Please note that the sales tax that may show on an Order Form is only an estimate. The is actual amount of sales tax will be determined at the time that payment is made. All payments are due in U.S. dollars.
The Agreement shall commence upon execution of an Order Form and, unless
otherwise provided in the Product Terms, shall continue until cancelled in accordance with the
terms of this Agreement
7.2.2 Timing of Payment
Fees, as identified on the Order Form, are due in advance of each month. BCW shall have the
right to charge the Client Card or debit from your account through Paypal. You understand and
acknowledge that all amounts owed must be paid in advance and that, in addition to being in
breach of your contractual obligations, your campaign or service may be paused or terminated if
timely payment is not received.
7.3 Late fees
In addition, accounts in excess of 30 days in delinquency will incur a $25 per month late fee, on top of the return checks back charges. After 45 days, the delinquent account may be sent to a collection agency unless you begin paying the regular payment plan. You agree to pay all handling, collection, or legal costs. Insufficient funds or credit card cancellation may result in an additional processing fee of $25, plus delay service order processing and ongoing support.
Unresolved payment will be reported to credit bureaus, D & B, board members and other business institutions.
8. Customer Service and Support (All service orders are non-refundable and have a non-cancellation policy. )
We value our customers and will work hard to earn your trust. It is our policy to always treat our clients with respect and professionalism. However, we also value our employees who deserve the same respect and professionalism.
All client communication is documented and we reserve the right to move a client to a different representative or terminate an agreement at any time with uncooperative clients. In the event of this occurrence, we reserve the right to terminate our agreement and return 50% of the order total for incomplete work.

9. As our goal is satisfied customers!
To maintain our affordable prices we provide limitations on time spent on revisions in each order. Each order allows for a maximum of two (2) revisions per ‘’revisable item’’. Additional time or modifications may be provided on an hourly basis by a pre-scheduled appointment call.
10. Cancellation Policy
When placing your order, please note that you will be given access to marketing material, tools, or website platforms to assist in processing your order. These templates and tools are the intellectual property of BCW (BizCafeWorld) and thus access to these tools are considered to be a portion of the service for which you have paid for.
You may cancel as follow:
10.1 Web Service
Considering the nature of this service, If you cancel the order prior to the estimated delivery or released time, BCW will not will issue any refund and will keep the monies paid in order to cover costs and as liquidated damages.
10.2 Social Service
This services is not cancellable for the first 90 days (initial period) in order to cover its costs and
may be cancelled any time after the initial period only after a 30 day notice has been given to
BCW by email or phone call at
10.3 Web/Social Service
For the Web Service the clause 10.1 above applies and for the Social Service, the clause 10.2 above will apply.
11. Client’s Satisfaction Commitment to Service
BCW primary and ultimate goal is complete client satisfaction. Our client commitment to service is to go above and beyond to earn the client’s business, trust, and satisfaction.
In the event of any dispute arising from this agreement, and/or the breach, all parties shall use their best efforts to settle the disagreement.
In the event of any unresolved disagreement, the concerns must be elevated to a customer care supervisor. If a resolution has not been reached within 48 hours, you may contact management directly via email at our contact us page or directly the business consultant that handled the order placement.
Our goal is to discuss the matter in good faith, recognizing our mutual interests, and attempt to reach a just and equitable solution, satisfactory to both parties. We believe that as long as we are being reasonable, that 99.9% of the time, we will reach the agreement.
Unfortunately, in a few cases we may not reach such solution; then, upon notice by either party to the other, this dispute shall be settled only by the arbitration process administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.
12.1 Governing Law
The Agreement will be governed and interpreted in accordance with the laws of the State of
Florida without giving effect to conflict of laws principles. The parties acknowledge that when
applicable this agreement may evidence a transaction involving interstate commerce.
12.2 Timing of Claims
You agree that, regardless of any statute or law to the contrary, the dispute resolution process
identified in below in the paragraph titled ‘’Arbitration’’ is applicable to any claim, dispute or
controversy arising out of or related to the Agreement and must be commenced within one year
after such claim or cause of action arose or be forever barred.
12.3 Entire Agreement
The Agreement (which includes the Order Form, all applicable Product Terms and any payment
authorization forms) sets forth the entire agreement of the parties and supersedes any and all
prior oral or written agreements or understandings between the parties as to the subject matter
hereof. It may be changed only by a writing signed by both parties.
With respect to changes to Order Forms then in effect, such writing may include email, provided
that such changes are limited to a change in the term of the Order Form or the amounts being
paid under the Order Form.
Any written notices to BCW required under the Agreement shall be provided by registered mail
with proof of delivery to BCW’s then current corporate headquarters address (as shown
on www.bizcafeworld.com), Attn: Office of the Communication Officer and by email to
email@example.com. Notices shall be deemed delivered 72 hours after posted in the
If any provision of this Agreement is held to be invalid or unenforceable for any reason, the
remaining provisions will continue in full force without being impaired or invalidated in any way.
You may not assign any Order Form or the Agreement without the prior written consent of
BCW. The parties’ rights and obligations will bind and inure to the benefit of their respective
successors, heirs, executors and joint administrators and permitted assigns.
12.7 Independent Contractors
The parties to the Agreement are independent contractors, and no agency, partnership, joint
venture or employee-employer relationship is intended or created by the Agreement.
12.8 Third-Party Services
Some of the Services may incorporate third-party products and services (such as with MGX as
disclosed above) and BCW may do so without your consent, provided that BCW remains
primarily liable for the performance of its obligations to you.
You acknowledge that BCW may provide incentives to third parties to introduce potential
clients to BCW or to direct BCW to potential clients.
12.10 Force Majeure
Neither party shall have any liability for any failure or delay (other than with respect to payment
obligations) resulting from any governmental action, fire, flood, insurrection, earthquake, power
failure, riot, explosion, embargo, strikes whether legal or illegal, labor or inventory shortage,
unavailability of currency, transportation interruption of any kind, work slowdown or any other
condition affecting production or delivery in any manner beyond the reasonable control of such
The United States Arbitration Act shall govern the interpretation, enforcement, and proceedings pursuant to the arbitration clause in this agreement. Their decision is final, and BCW will comply 100% with the final decision. In no event shall an award in an arbitration initiated under this clause exceed the value of the product or service provided under this agreement.
Each party shall bear its own costs and expenses and an equal share of the arbitrators’ and administrative fees of arbitration. The award of the arbitrators shall be accompanied by a reasoned opinion. Any arbitration decision will be final.
I certify that I am the card holder and authorized to make this decision on behalf of the stated company. I will assume financial responsibility for payment of services ordered. I hereby confirm my order and have read and agreed to the stated Service Terms and Conditions.
12.13 Electronic Signature
I also understand that this electronic signature will be given same legal affect as written and signed paper communications, in compliance with the: Electronic Signatures in Global and National Commerce Act.
13. Your Representations, Warranties and Covenants
You represent, warrant and agree that the Existing Site, any content linked to the Existing
Site and any content or materials that you provide to BCW, do not and will not: (a) infringe on any third party’s copyright, patent, trademark, trade secret, moral right or other proprietary rights or right of publicity or privacy; (b) violate any law, statute, ordinance or regulation, including, without limitation, laws and regulations governing export control, false or misleading advertising or unfair competition; (c) be defamatory or libelous; (d) be pornographic or obscene; or (e) contain viruses, trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines.
You further represent, warrant and agree that the product or service that is being (or will be)
promoted through any campaign is (i) lawful and (ii) not the subject of any ongoing investigation
by any local, state or federal regulatory or quasi-regulatory authorities.
14. No Warranties
BCW MAKES NO WARRANTY, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE SERVICES PROVIDED HERE UNDER, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF RELIABILITY, USEFULNESS, MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON INFRINGEMENT, OR THOSE ARISING FROM THE COURSE OF PERFORMANCE, DEALING, USAGE OR TRADE.
By using our Services, you acknowledge and agree that BCW neither owns nor governs the actions of search engine and does not govern the actions of third parties. You also acknowledge that due to fluctuations in the relative competitiveness of some search terms, recurring changes in the search engine algorithms and other competitive factors, it is impossible to guarantee number one rankings or consistent top ten rankings, or any other specific rankings for any particular search term. Finally, you also acknowledge and agree that BCW has no control over social networks and social sharing in general and particular.
15. Client Acknowledgement
By signing an Order Form, each client hereby declares to consent and have reviewed all the general terms agreement, cancelation policy, product and service disclosures, and agree to the stated service terms and conditions and to comply with these conditions outlined and understand that any attempt to circumvent the defined process, procedures and conditions will be a breach of the client service agreement. Any dispute must follow the outlined procedure.
BCW is not responsible for and cannot properly address any issue unless this process is followed. In the unlikely event that the parties cannot come to a resolution and a third party is needed, we agree to follow the ruling of the American Arbitration Association. The alternative resolution is a cost-effective impartial dispute arbitration company.
